The Russian and Kazakh versions are prepared for owner adoption in the limited pilot, not as the result of independent legal review. This English translation is for reference only and is not used for acceptance. Preparing this text does not itself constitute owner adoption, publication or entry into effect.
This document is a public offer by "Aluber.kz" limited liability partnership (unofficial translation), BIN 261040020455, registered address: Republic of Kazakhstan, Zhetysu Region, Taldykorgan, 204 Abylai Khan Street, 040000 (the “Operator”) to enter into a contract for access to the aluber B2B Platform with a legal entity or individual entrepreneur purchasing goods for business purposes (the “Buyer”).
Acceptance is made by the organisation's owner or a representative with sufficient authority, who completes the registration details and separately selects acceptance of this revision. Visiting the website, remaining silent or using individual public pages does not constitute acceptance.
1. Contract terms and documents
1.1. The Platform means the aluber website and accounts through which the Buyer finds offers, places orders, receives notifications and exchanges documents with Suppliers.
1.2. A Supplier is an independent seller of goods. An Order is an electronic message addressed to a specific Supplier and stating the composition, quantity, price and supply terms.
1.3. The Electronic Interaction and Digital Signature Regulations (Limited pilot · version 1) and Rules for Acceptance, Returns and Claims (Limited pilot · version 1) form an integral part of the contract. If the main text conflicts with an appendix, the special appendix applies to matters concerning that process.
1.4. Contract documents are executed in authentic Kazakh and Russian versions. The English version is used for acceptance only after separate version-pinned legal and translation approval; otherwise it is informational or remains unpublished.
2. Subject matter and role of the Operator
2.1. The Operator provides an information-technology service comprising a catalogue, offer comparison, basket, Order placement and history, logistics statuses, messages, electronic delivery notes and returns.
2.2. As owner of the digital system and digital platform, the Operator discloses access and use terms in this document and related rules, provides reliability, integrity, protection and cybersecurity proportionate to the functions, and accesses a participant's digital resources only on a lawful or contractual basis.
2.3. Unless a separate contract expressly states otherwise, the Operator does not sell goods, purchase them for resale, accept payment for goods, or act as a commission agent, agent, carrier, warehouse or representative of a supply party.
2.4. The supply contract for each Order is concluded directly between the Buyer and Supplier. The Operator is responsible for its own actions and Platform operation within the law and contract, but does not replace the Supplier's responsibility for the goods.
3. Registration, organisation and authority
3.1. The Buyer states an accurate name, BIN/IIN, registered address, contact person, phone number and retail-outlet addresses. Changes to particulars must be entered without undue delay.
3.2. The Buyer separately confirms that it acts as a legal entity or individual entrepreneur and purchases goods exclusively for business purposes, not as an individual for personal, family, household or other non-business needs. This confirmation is retained with its exact revision and must be renewed when it expires, is withdrawn or changes.
3.3. The registrant represents that they may act on behalf of the Buyer and accept the terms. The organisation's owner is responsible for appointing users, determining the scope of their rights and promptly revoking access from dismissed or unauthorised persons.
3.4. If the Buyer identifies an employee, recipient, courier or another individual who does not personally use the Platform, the Buyer first informs that person about data processing, ensures a lawful transfer basis and retains supporting information. At the Operator's request, the Buyer provides evidence of the basis; this does not release the Operator from its own duties to the data subject.
3.5. The Operator may verify information using open government sources and request evidence of authority. Access restrictions must be proportionate to risk; history, documents and completion of obligations already incurred are preserved unless the law requires otherwise.
3.6. OTP codes and a session confirm an action by a specific account, but are not themselves digital signatures. The user must immediately report compromised access.
4. Concluding a supply contract
4.1. Listing a Supplier's offer in the catalogue is an invitation for the Buyer to send an Order unless the card expressly indicates otherwise.
4.2. An Order sent by the Buyer is an offer to the Supplier on the terms stated in the Order snapshot. Confirmation by the Supplier without changes constitutes acceptance and conclusion of the supply contract.
4.3. A change by the Supplier to composition, quantity, price, discount, date or delivery method is a counter-offer. A contract on amended terms arises only after the Buyer's express confirmation. Rejection, cancellation before acceptance and expiry of the waiting period do not conclude a contract.
4.4. The Platform preserves the offer, counter-offer and acceptance as separate immutable messages, with snapshots of the parties and material terms, the specific user and their active membership and role, server time, checksums and revision links. Acceptance refers to the exact accepted revision; an integrity failure is not presented as agreement.
4.5. The acceptance time recorded by the Platform confirms the time of the server record, but is not, by itself, evidence that the electronic message was delivered to the addressee or that the user had sufficient corporate authority. Production conclusion of supply contracts remains disabled until counsel approves the time-of-receipt rule, authority matrix and separate immutable electronic receipt for the message. The parties prepare accounting and mandatory government documents separately.
5. Price, taxes and settlement
5.1. The price in the card and Order snapshot is stated in tenge (KZT) and is the final contractual price per unit, including applicable taxes and the Supplier's costs. The discount and total are recorded in the Order.
5.2. When the approved tax workflow is enabled, the Platform stores structured tax profiles, immutable snapshots of the VAT rate and amount, and local document references. Those data, statuses and PDFs are not electronic invoices or accompanying waybills for goods and do not prove registration in government systems. The Supplier independently determines its tax regime and promptly provides the Buyer with proper source, tax and government documents through the relevant information system or another channel agreed by the parties.
5.3. Payment for goods is made directly to the Supplier using the details and within the periods agreed by the parties. Under this revision, the Operator does not accept or hold money for goods.
5.4. The Buyer's access to the Platform's electronic information resources is provided free of charge. Separate additional services that are not a fee for such access may become paid only after legal classification, publication of a standalone tariff and a separate express contract with an authorised representative of the Buyer; use of the free pilot does not constitute agreement to them.
6. Delivery, acceptance and documents
6.1. The delivery method, address, preferred date and delivery contact are recorded in the Order. Actual periods and risks are determined by the supply contract and applicable legislation.
6.2. Upon acceptance, the Buyer checks quantity, assortment, visible damage, shelf life, labelling and, where applicable, temperature conditions; discrepancies are recorded in the Platform and supporting materials.
6.3. An aluber electronic delivery note is an operational record of the parties' supply. It is not, and does not replace, a primary accounting document, Form Z-2, an electronic invoice, an accompanying waybill for goods or another mandatory government document.
6.4. The PDF is a visualisation of the operational payload. SHA-256 can verify its integrity, while a digital signature in an enabled and approved flow confirms only the exact issue or acceptance message in aluber; it does not by itself give the PDF the status of Form Z-2, an electronic invoice or a goods accompanying waybill.
6.5. Until a separate model for ordinary individual entrepreneurs is implemented, the digital-signature function is available only to verified legal entities and joint individual enterprises with a BIN in the approved allowlist. The digital-signature restriction does not prevent an ordinary individual entrepreneur from receiving Orders, delivery notes and PDFs and recording acceptance without representing that a digital signature was applied.
7. Returns and claims
7.1. Seven days after Order completion is an operational target for prompt submission, not a cut-off that extinguishes a claim. The Platform also accepts a late submission, marks it for individual legal review and preserves the evidence; the availability and limitation period of the claim are determined by law and the supply contract.
7.2. The Buyer must notify the Supplier of an identified breach within a reasonable or contractually established period and provide available evidence. The available remedy and method of performance depend on the reason: shortage, assortment, documents and accessories, completeness, quality, packaging and an agreed return of proper-quality goods have different legal consequences.
7.3. Physical return, delivery of missing or replacement goods, repair, completion, price reduction, reimbursement of expenses and monetary settlement are performed by the supply parties. Reverse logistics applies only where the selected and agreed remedy entails collection of goods.
7.4. The Operator may provide technical escalation and record a decision, but is not a government court or mandatory arbitration tribunal. A Platform request does not restrict a party's right to apply to a competent court.
8. Buyer's obligations
8.1. The Buyer must:
- use the Platform only for lawful business activity;
- ensure the accuracy of particulars, addresses, contact details and user authority;
- review counter-terms promptly, accept goods and settle with the Supplier;
- not access another party's data, circumvent restrictions or conduct unauthorised automated collection;
- not upload malicious or unlawful materials or materials infringing third-party rights.
9. Catalogue, ranking and promotion
9.1. Result order may take account of relevance, city, availability, price, supply terms, card quality and other predetermined parameters. Paid or otherwise incentivised promotion is separated from ordinary results by a clear label; it does not mean that the Operator recommends the quality of the goods.
9.2. The Supplier provides information and claims in a card. The Operator applies moderation, but the Buyer checks mandatory documents relating to its transaction and does not treat ranking as a government review, certification or guarantee.
9.3. The Operator does not disclose another participant's non-public prices, individual terms or trade secrets to the Buyer and does not use ranking to discriminate arbitrarily against lawful activity.
9.4. If a fully automated decision may affect the rights or legitimate interests of a digital-environment subject, whether an individual or legal entity, the Operator communicates the fact of its use and key factors to the extent required by law and provides a channel for review by an authorised specialist. Until such a process is approved, final blocking, authority disputes and legal resolution of claims are not decided solely by an algorithm.
10. Intellectual property and data
10.1. Exclusive rights to aluber software, design and brand elements belong to the Operator or its licensors. The Buyer receives a limited right to use the Platform during the contract.
10.2. The Buyer retains rights to materials it uploads. Within the Republic of Kazakhstan, it grants the Operator a non-exclusive right without separate licence remuneration to reproduce, store, technically convert the format of and transfer material to a specific counterparty solely for operation, security, Order performance and dispute resolution; access to Platform functions is the counter-performance.
10.3. The Operator may commission such technical actions only from processors disclosed in the Policy and bound by confidentiality and a prohibition on independent use. After contract termination, material is retained non-publicly only in mandatory history, evidence and backups until the approved period expires. Public or off-Platform advertising use requires the right holder's separate express consent.
10.4. Each individual's personal data are processed under the Policy; that person's separate consent is not replaced by accepting a contract on behalf of an organisation.
11. Confidentiality and message integrity
11.1. The Operator defines and applies organisational and technical conditions ensuring the integrity and confidentiality of Orders, messages, documents and other non-public digital resources.
11.2. The Operator does not disclose or transfer electronic documents, messages, trade secrets or their copies to third parties except where expressly provided by applicable law, this contract, a special document or necessary commissioned processing by a provider stated in the Policy.
11.3. The Operator does not alter the meaning or material terms of an electronic message. Only changes agreed by the parties, a new traceable revision and technical format conversion preserving content, author, addressee, date and history are permitted.
12. Availability and liability
12.1. The Operator takes reasonable organisational and technical measures for service availability and security, but may conduct maintenance and remedy outages. Where possible, the User is notified in advance of material planned interruptions.
12.2. A party is liable, to the extent permitted by law, for documented direct loss caused by breach of its obligations. Limitations do not apply to intentional breach, gross negligence, breach of confidentiality or cases in which liability cannot be limited.
12.3. Force-majeure circumstances relieve liability for their duration if timely notice is given and reasonable mitigation measures are taken.
13. Amendment, term and termination
13.1. A new revision is published with its publication and effective dates at least 10 calendar days in advance. Material changes are additionally communicated in the account and through an available contact channel.
13.2. Continuing new operations after a material revision takes effect requires express renewed acceptance by a representative whose authority to accept the relevant contract has been confirmed. The internal “owner” role does not, by itself, create such authority. Refusal does not terminate obligations already incurred; before working access is restricted, the Buyer is provided with document export and the read-only or protected backup channel prescribed by the approved offboarding procedure to complete open Orders.
13.3. Either party may terminate the contract by notice. The Operator may immediately restrict dangerous or unlawful actions and, in other cases, provides a period to remedy a breach where reasonable.
14. Notices and disputes
14.1. The Operator sends legally significant messages to the account and duplicates them to a verified email or phone number where the process provides for this. The User must keep contact details current.
14.2. A claim to the Operator is sent to webberdyev@gmail.com and Republic of Kazakhstan, Zhetysu Region, Taldykorgan, 204 Abylai Khan Street, 040000. The Operator registers the request, communicates the applicable review period and responds within the period established by law, contract or the approved procedure for that type of request.
14.3. The law of the Republic of Kazakhstan applies to the contract. A dispute is first addressed through negotiations and a claims procedure and then by a competent court of the Republic of Kazakhstan under statutory jurisdiction rules; a contractual term does not deprive a party of mandatorily granted jurisdiction.
