The Russian and Kazakh versions are prepared for owner adoption in the limited pilot, not as the result of independent legal review. This English translation is for reference only and is not used for acceptance. Preparing this text does not itself constitute owner adoption, publication or entry into effect.

This document is a public offer by "Aluber.kz" limited liability partnership (unofficial translation), BIN 261040020455, registered address: Republic of Kazakhstan, Zhetysu Region, Taldykorgan, 204 Abylai Khan Street, 040000 (the “Operator”) to enter into a contract for access to the aluber B2B Platform with a seller and supplier of goods for business purposes (the “Supplier”).

Acceptance is made by the organisation's owner or a representative with sufficient authority through a separate express tick box. Visiting the website, creating a draft or remaining silent does not constitute acceptance.

1. Contract composition and definitions

1.1. The Platform means the aluber software suite for publishing offers, receiving Orders, managing picking and supply, exchanging documents and handling returns.

1.2. Integral appendices are the Rules for Suppliers and Product Cards (Limited pilot · version 1), Electronic Interaction and Digital Signature Regulations (Limited pilot · version 1), and Rules for Acceptance, Returns and Claims (Limited pilot · version 1).

1.3. Contract documents are executed in authentic Kazakh and Russian versions. The English version is used for acceptance only after separate version-pinned legal and translation approval; otherwise it is informational or remains unpublished.

1.4. A Buyer is a legal entity or individual entrepreneur purchasing goods from the Supplier. An Offer comprises the product card, price, availability and the Supplier's commercial restrictions.

2. Subject matter and role of the Operator

2.1. The Operator provides the Supplier with an account, assortment import, offer publication, Order receipt, supply statuses, messages, analytics, electronic delivery notes and returns.

2.2. As owner of the digital system and digital platform, the Operator discloses access and use terms in this document and related rules, provides reliability, integrity, protection and cybersecurity proportionate to the functions, and accesses the Supplier's digital resources only on a lawful or contractual basis.

2.3. The Operator does not become the seller of goods, a party to a supply contract, a carrier or a payment agent unless a separate contract expressly provides otherwise. The Supplier independently bears the duties of seller, taxpayer and owner of the goods.

2.4. Moderation checks whether data are sufficient for the Platform and is not government registration, product certification or a guarantee of the Supplier's good faith.

3. Registration and authority

3.1. The Supplier provides an accurate name, BIN/IIN, registered address, city, contact person and phone number and, upon request, registration, licence, permit and authority documents.

3.2. The registrant represents that they have authority to accept the contract. The organisation's owner appoints users, restricts their roles and immediately revokes access when authority terminates.

3.3. If the Supplier identifies an employee, driver, courier, recipient or another individual who does not personally use the Platform, the Supplier first informs that person about data processing, ensures a lawful transfer basis and retains supporting information. At the Operator's request, the Supplier provides evidence of the basis; this does not release the Operator from its own duties to the data subject.

3.4. For digital signing, the Supplier uses a certificate of a person with a valid basis of authority. In the current pilot perimeter, only a user with an active internal owner role may access the function, but that role is merely an additional access control. Without trusted certificate and authority verification through the service provided by Article 61 of the Digital Code, creating and accepting digital signatures is completely unavailable in production.

3.5. The current digital-signature perimeter supports only a legal entity or joint individual enterprise with an assigned and separately verified BIN in the production allowlist. An ordinary individual entrepreneur using their own digital signature and IIN works with Orders, delivery notes and PDFs without digital signing until a separate certificate and authority process is implemented.

3.6. An unverified Supplier may prepare its catalogue and processes in a restricted account, but its offers are not displayed to new Buyers until activation.

4. Offers and conclusion of a supply contract

4.1. The Supplier ensures that the name, ingredients, pack size, unit of measure, final price in KZT, minimum quantity, multiple, stock, shelf life, labelling, image and delivery terms are current.

4.2. A product card is normally an invitation to make an offer. The Buyer's Order is an offer to the Supplier; confirmation without changes is acceptance. Any adjustment by the Supplier is a counter-offer and requires the Buyer's express confirmation.

4.3. After a supply contract is concluded, the Supplier may not unilaterally alter agreed terms. Unavailability, substitution or a new period is documented through the Platform process and is not accepted until confirmed by the Buyer.

4.4. The Platform preserves the offer, counter-offer and acceptance as separate immutable messages, with snapshots of both parties and material terms, the specific user and their active membership and role, server time, checksums and revision links. Recorded server time does not, by itself, prove delivery to the addressee or sufficient corporate authority of the user. Production conclusion of supply contracts remains disabled until counsel approves the time-of-receipt rule, authority matrix and separate immutable electronic receipt for the message.

5. Goods, labelling and mandatory documents

5.1. The Supplier warrants lawful circulation, quality and safety of the goods, compliance with EAEU technical regulations and sanitary, veterinary, licensing and labelling requirements, and the existence of supporting documents.

5.2. The Supplier ensures that goods are registered in the National Product Catalogue, provides the applicable identification code and does not publish an offer against a missing or archived NPC card. Until a separate release, the Platform does not permit socially important food products: the current Order does not contain a mandatory maximum-trade-mark-up term or the full evidence set for the purchase price.

5.3. The current pilot does not permit alcoholic products, tobacco or any nicotine-containing goods, electronic consumption systems or their accessories, medicines, medical devices or dietary supplements. Internal Operator approval does not override this prohibition.

5.4. The Supplier independently determines what is required and promptly prepares an electronic invoice, accompanying waybill for goods, goods delivery note in the applicable form, certificate, declaration, veterinary document and other mandatory documents.

5.5. aluber documents do not replace government documents in the Electronic Invoice Information System or other systems. An aluber number or PDF must not be stated as an accompanying-waybill/electronic-invoice number.

5.6. If goods are recalled, prohibited from circulation or identified as dangerous, the Supplier immediately stops the offer, notifies affected Buyers and the Operator and arranges actions required by law.

6. Price, taxes, settlement and reporting

6.1. The price in the card and Order snapshot is stated in tenge (KZT) and is the final contractual price per unit, including applicable taxes and the Supplier's costs.

6.2. When the approved tax workflow is enabled, the Platform stores structured tax profiles, immutable snapshots of the VAT rate and amount, and local document references. Those data, statuses and PDFs are not electronic invoices or accompanying waybills for goods and do not prove registration in government systems. The Supplier independently determines its tax regime and promptly provides the Buyer with proper source, tax and government documents through the relevant information system or another channel agreed by the parties.

6.3. Settlement for goods occurs directly between the parties. The Operator does not hold payment and charges no commission under the pilot revision.

6.4. Any future subscription or commission applies only under a separate tariff after publication and express acceptance; continued use of the free pilot does not itself constitute agreement to a fee.

6.5. If a written tax analysis determines that Article 56(5) of the Tax Code applies to the Operator as owner of an internet platform, the Supplier provides only information required by the form and Rules approved by Order No. 614. This clause is not based on the Law on Online Platforms and Online Advertising. The Supplier independently performs its own tax obligations.

7. Picking, delivery and acceptance

7.1. The Supplier picks the agreed items, preserves quality and temperature conditions, states actual quantities and driver and vehicle data only to the necessary extent, and hands over the goods at the agreed address and time.

7.2. Platform statuses record the parties' messages but do not replace actual performance. A knowingly false status or document is prohibited.

7.3. Visible discrepancies are recorded on acceptance. Seven days after Order completion is an operational target, not an automatic ground for rejection: a late submission is accepted, preserved and routed for individual legal review.

8. Electronic documents and digital signatures

8.1. Before signing, the Supplier sees the exact content of the canonical electronic document and expressly confirms creation of a digital signature. The signed payload, CMS, certificate and verification evidence are preserved and available for export.

8.2. The delivery note and its PDF are an operational record/visualisation of the aluber payload, not Form Z-2, an electronic invoice or a goods accompanying waybill. A digital signature confirms only the exact issue or acceptance message in aluber and does not turn the PDF into a mandatory primary or government document.

8.3. An issued delivery note is corrected by a new revision identifying the replaced document and the reason. Signatures and the history of the old revision are not deleted.

9. Returns, claims and settlement

9.1. The Supplier considers a request and evidence in good faith and within the process period and, if refusing, states a specific reasoned ground.

9.2. Accepting a request initiates the performance branch appropriate to the breach and agreed remedy: delivery of missing quantity, price reduction, completion, repair, reimbursement of expenses, replacement, repackaging, physical return or another method provided by law or agreement. Reverse logistics is initiated only where performance requires collection of the goods.

9.3. The parties record actual performance, receipt or handover of goods, adjustment amount, method of set-off or refund, and applicable accounting documents. A Platform status does not itself make a payment or replace a source or tax document; the Operator does not transfer money in place of the Supplier.

9.4. Technical escalation to the Operator does not restrict judicial remedies and does not make the Operator a mandatory arbitration tribunal unless a separate arbitration agreement has been concluded.

10. Promotion, advertising and competition

10.1. A promotional placement addressed to an indefinite group is labelled as advertising or promotion and is not disguised as an organic result. The Supplier provides only accurate and substantiated claims; for licensed activity it states mandatory information, and states prices in tenge.

10.2. The Supplier does not place advertising for prohibited goods, covert advertising, false comparisons, competitor denigration, another party's trade mark without a basis, or a claim of a government review that did not occur. Upon request, it provides documents supporting each objectively verifiable claim.

10.3. As advertiser or advertising producer, the Supplier retains the material and all changes for one year after the last placement. As advertising distributor, the Operator retains them for at least one month and, when also acting as advertiser or advertising producer, for one year; a longer approved period applies where necessary for a dispute or another lawful purpose.

10.4. A participant does not use Platform data to coordinate prices, allocate markets, boycott, impose resale prices or obtain a competitor's non-public terms. The Operator may label, suspend or remove disputed promotion while preserving evidence and allowing a reasoned objection.

11. Content rights and confidentiality

11.1. The Supplier retains rights to content. Within the Republic of Kazakhstan, it grants the Operator a non-exclusive licence without separate licence remuneration to reproduce, store, decode, resize and reformat content, display it in the aluber catalogue and accounts, and transfer it to a specific Buyer for offer publication and Order performance; access to Platform functions is the counter-performance.

11.2. Public display ends when the card is removed. A non-public copy is retained only in Order history, evidence, disputes and backups until the mandatory or approved period expires. The Operator may engage only technical processors disclosed in the Policy, without a right of independent use; any other transfer of rights, sublicensing or advertising outside aluber requires the right holder's separate express consent.

11.3. The Supplier warrants the right to use names, images, trade marks and descriptions. Following a substantiated complaint, disputed material may be hidden temporarily during review.

11.4. Public product photographs and banners are technically re-encoded and metadata are removed before placement. The Supplier does not upload faces, geotags, documents, contact details or other personal or confidential information; technical cleansing does not replace its prior review of content and rights.

11.5. Competitor prices, personal data and non-public information are available only within the scope of the specific role and Order. Export or use outside the contractual purpose is prohibited.

11.6. The Operator ensures the integrity and confidentiality of Orders, messages, documents, trade secrets and other non-public digital resources and does not disclose them to third parties except where expressly provided by law or contract or for necessary commissioned processing by a provider disclosed in the Policy.

11.7. The Operator does not alter the meaning or material terms of an electronic message. A change agreed by the parties, a new traceable revision and technical format conversion preserving content, author, addressee, date and history are permitted.

12. Suspension and liability

12.1. The Operator may immediately hide dangerous, prohibited or suspected counterfeit goods and restrict actions creating a security threat. For ordinary breaches, the Supplier is sent the reason and a reasonable remedy period.

12.2. If risk or priority is determined algorithmically, the Operator prevents discrimination and communicates to the digital-environment subject, whether an individual or legal entity, the fact that the system was used and key factors to the extent required by law. Until a review process by an authorised specialist is approved, final account blocking, authority disputes and legal resolution of claims are not decided solely by an algorithm.

12.3. The Supplier is responsible for the goods, offer accuracy, mandatory documents, taxes, delivery and its users' actions. The Operator is responsible for its own breach of contract and legislation.

12.4. Liability limitations do not apply to intentional breach, gross negligence, breach of confidentiality or other cases in which the law prohibits limitation.

12.5. Force-majeure circumstances relieve a party from liability for resulting non-performance during their duration if the other party is notified promptly, causation is substantiated and reasonable mitigation measures are taken. Monetary obligations and duties to preserve goods already accepted that arose beforehand do not terminate automatically.

13. Amendment and termination

13.1. A new revision is published at least 10 calendar days in advance and accompanied by a brief description of material changes. New operations after the effective date require express renewed acceptance by a representative whose authority to accept the relevant contract is confirmed; the internal “owner” role does not, by itself, create that authority.

13.2. Refusal of a new revision permits termination before it takes effect. Before working access is restricted, the Supplier is provided with document export and the read-only or protected backup channel prescribed by the approved offboarding procedure to complete obligations already incurred.

13.3. Either party may terminate by notifying the other. Termination closes new operations but does not cancel existing supplies, settlements, returns, claims, or obligations concerning documents, confidentiality, personal data and evidence retention; they continue until completion under the applicable terms.

14. Notices, governing law and disputes

14.1. Notices are sent to the account and current contact details. Claims to the Operator: webberdyev@gmail.com, Republic of Kazakhstan, Zhetysu Region, Taldykorgan, 204 Abylai Khan Street, 040000. The Operator registers the request, communicates the applicable review period and responds within the period established by law, contract or the approved procedure for that type of request.

14.2. The law of the Republic of Kazakhstan applies. After the claims procedure, a dispute is referred to a competent court of the Republic of Kazakhstan under statutory jurisdiction rules.

15. Operator particulars
